1. Scope, business use, and relationship
These Terms & Conditions govern use of the Mainstay System LLC website, business-to-business direct-mail advertising services, and Mainstay Visibility. The services are offered for business use only, not for personal, family, or household use. A campaign proposal, order, creative approval, or other written agreement may add or replace terms for a specific engagement. More specific written campaign terms control if there is a conflict.
2. Website use and inquiries
You may use this website for lawful business purposes. Site content is general information and is not a quote, legal advice, or a promise that a campaign is available. Submitting an inquiry is not an order or contract, does not reserve placement, and does not obligate either party.
2A. Mainstay Visibility accounts
Mainstay Visibility is an account tool operated by Mainstay System LLC and included with a paid direct-mail postcard placement at no separate charge until the account's access end date. Accounts are created only after payment, are limited to one business, and are non-transferable. Account holders must protect their credentials and may not sell, assign, share, or transfer an account to another business or person.
Each account is reviewed before activation. Mainstay Visibility shows live information from Google Business Profile listings, a profile checklist score that is not a Google ranking, a fixed owner checklist, and a review link. It does not promise any change in search placement, reviews, or customer activity. Account holders must not offer rewards for reviews or otherwise violate Google's policies.
Mainstay System LLC may decline or end service at its discretion, including for failed verification, suspected fraud, Acceptable Use violations, or conduct that harms our business or other advertisers. We do not refuse service on any basis prohibited by law.
3. Campaign scope and final proof approval
Campaign scope, target area, price, production specifications, estimated timing, and included services are confirmed in writing. Mainstay System LLC sends the final ad proof to the business owner's account, and the owner must review the creative, business identity, offer, contact details, licenses, and disclosures.
Production starts when the business owner electronically signs the final ad proof. Mainstay System LLC records the approval timestamp and the approving owner's IP address as evidence of that authorization.
4. Customer content and warranties
The advertiser is responsible for the accuracy, substantiation, and legality of supplied text, claims, prices, offers, logos, images, trademarks, testimonials, licenses, and disclosures. The advertiser represents that it has all rights, permissions, and authority needed for Mainstay System LLC to use those materials and that the campaign will not violate law or third-party rights.
5. Advertising requirements
The advertiser is responsible for requirements applying to its industry, offer, and service area, including contractor license disclosures and rules for regulated products or services. Mainstay System LLC may identify layout space or request information but does not provide legal approval or independently validate every license, claim, or disclosure. Mainstay System LLC may suspend, refuse, or request changes to material reasonably believed to be unlawful, deceptive, infringing, discriminatory, fraudulent, abusive, or inconsistent with the Acceptable Use Policy.
6. Intellectual property and limited license
Mainstay System LLC retains its rights in the website, campaign systems, templates, methods, and original materials. The advertiser retains its rights in supplied materials and grants Mainstay System LLC a limited, non-exclusive license to reproduce, adapt as approved, print, distribute, and otherwise use those materials solely to perform and administer the requested service. Mainstay System LLC will not use advertiser work publicly in a portfolio, case study, advertisement, or other marketing without the advertiser’s affirmative permission.
7. Production and distribution dependencies
Printing, finishing, transportation, mailing, and distribution depend on third-party providers, address data, weather, equipment, access, and other operational conditions outside Mainstay System LLC’s direct control. Delivery windows are estimates unless a specific written agreement expressly states otherwise. Mainstay System LLC will address known material changes reasonably and will evaluate vendor-caused issues under the applicable campaign and vendor terms.
8. Pricing, payment, changes, and taxes
The direct-mail postcard placement is currently a one-time payment of $399 that does not renew. It includes Mainstay Visibility access at no separate charge until the account's access end date, which defaults to 90 days after purchase and may be changed by Mainstay System LLC. Online payments are processed by Stripe; Mainstay System LLC does not receive or store card data. Other scope or pricing is stated in the applicable written quote or order. The advertiser is responsible for applicable taxes.
9. Cancellation and refunds
Direct-mail payments are fully refundable before production starts. Production starts when the business owner electronically signs the final ad proof; after that signature, print, postage, and design payments are non-refundable. If Mainstay System LLC cancels a drop, the shared postcard does not fill, or Mainstay System LLC declines or blocks the business, the advertiser may choose a future-drop credit or a refund of all amounts not yet spent on its ad. Mainstay Visibility has no separate charge and carries no separate refund. The Refund Policy provides the complete terms.
9A. Communications
By purchasing, the customer agrees to receive transactional emails needed to provide the service, including receipts, account invites, ad proofs, and mailing updates. Marketing emails such as the newsletter are sent only with separate optional consent, are never a condition of purchase, and can be stopped anytime with the unsubscribe link. Commercial emails from Mainstay System LLC include the business mailing address and an unsubscribe option.
10. No promise of business outcomes
Advertising outcomes depend on the offer, market, timing, audience, competition, creative, response handling, and broader business conditions. Mainstay System LLC does not promise leads, calls, appointments, sales, revenue, conversion rates, or return on investment.
11. Confidentiality
Each party should use reasonable care with nonpublic business information received for the engagement and use it only to perform or receive the services. This does not cover information that is public without breach, already lawfully known, independently developed, properly received from another source, or required to be disclosed by law.
12. Force majeure
Neither party is responsible for delay or failure caused by events reasonably beyond its control, including severe weather, natural disaster, labor disruption, transportation interruption, government action, widespread network failure, or supplier interruption. Payment obligations for work already performed or committed are not excused solely by such an event.
13. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential damages arising from the website or services. Mainstay System LLC’s aggregate liability for a claim relating to a campaign or paid service will not exceed the fees paid to Mainstay System LLC for that campaign or paid service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, and they do not alter remedies expressly provided in a specific written agreement.
14. Indemnification
The advertiser will defend and indemnify Mainstay System LLC against third-party claims arising from advertiser-supplied materials, advertiser instructions, inaccurate or unlawful advertising claims, missing required permissions or disclosures, or the advertiser’s material breach of these terms, except to the extent caused by Mainstay System LLC’s own unlawful conduct or material breach.
15. Governing law and dispute resolution
California law governs these terms without regard to conflict-of-law rules. Before filing a claim, the parties will attempt in good faith to resolve the dispute through direct business discussion. Venue and any additional dispute procedure will follow the specific written campaign agreement or, if none applies, applicable law.
16. General terms
If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. Neither party may assign a campaign agreement without the other party’s consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets, subject to applicable law. Electronic records, signatures, approvals, and communications may be used for business transactions.
17. Modifications and contact
Mainstay System LLC may update these website terms prospectively. The date above identifies the current version. Changes do not retroactively replace signed campaign terms unless the parties agree. Questions may be sent through the contact form.
